A key suc­cess factor in mer­gers and acquis­i­tions is adequate communication with all stake­hold­ers involved. Dur­ing the mer­ger of the two lis­ted indus­tri­al groups Star­rag and Tornos to form the Star­rag­T­ornos Group in Decem­ber 2023, Zoe­beli Communications relied on inter­dis­cip­lin­ary col­lab­or­a­tion, trans­par­ency and pre­cise tim­ing.

Communication has a sig­ni­fic­ant influ­ence on the suc­cess of mer­gers. It influ­ences the valu­ation of the com­pan­ies involved and helps to min­im­ize the risks of such trans­ac­tions. As part of an inter­dis­cip­lin­ary team of experts, we were able to act­ively sup­port Tornos and Star­rag on their way to becom­ing the Star­rag­T­ornos Group.

The bro­chure for share­hold­ers, designed and pro­duced by Zoe­beli Communications, provides clear inform­a­tion about the bene­fits and the mer­ger pro­cess. It was designed in col­lab­or­a­tion with the design agency Luid­spreker, Venlo (NL). At the respect­ive gen­er­al meet­ings, the share­hold­ers approved the mer­ger pro­pos­al by an over­whelm­ing major­ity.

 

A new web­site provides the fin­an­cial com­munity with inform­a­tion on the Star­rag­T­ornos Group in a stock mar­ket-friendly format. The pro­gram­ming was car­ried out by our part­ner Etrex, Baden. A time frame of just nine weeks was avail­able for the devel­op­ment and real­iz­a­tion of the web­site.

 

Ad hoc announce­ments

The ad hoc communication on the mer­ger was car­ried out in sev­er­al stages, care­fully coordin­ated with the course of the mer­ger and, of course, in accord­ance with the stock exchange reg­u­la­tions on ad hoc pub­li­city.
